In the area of Commercial Law, our practice covers matters such as title due diligence; the analysis, preparation, negotiation, and drafting of contracts; and a broad range of corporate matters. These include advisory services and the execution of share purchase agreements, business transfers, amendments to articles of association, mergers, demergers, and corporate restructurings, as well as joint venture agreements and temporary business associations (Uniones Transitorias de Empresas – UTE).
We also advise on the incorporation of new companies and handle the filing, registration, and formalisation of all corporate acts before the Public Registry of Commerce (Inspección General de Justicia), including the establishment of branches of foreign companies and matters related to foreign investment.
